1) Who we are

Viveonix Web Systems (“Viveonix”, “we”, “us”). We provide Smart Websites, our Growth System (hosting, CRM tools, web chat & forms, Google review automation, AI/automation), and optional SEO services for local businesses. These Terms apply to use of our website and to any services started or purchased through it.

2) Your responsibilities

You agree to use our site and services lawfully, avoid disrupting others, and respect platform rules. You’ll provide timely content, access, and feedback needed to deliver your project, and you confirm you have the rights to the materials you supply.

3) Our services (summary)

Smart Websites:

Modern, mobile-friendly sites with lead capture built in.

Growth System:

Monthly plan including hosting, security, lead capture tools, review automation, and routine site updates (minimum terms may apply).

SEO Strategy and Implementation:

Optional sprints and advanced packages (minimum terms apply).

Full inclusions are shown in your proposal.

4) Fees, plans & billing

Setup / Fixed builds. Unless agreed otherwise, website builds and other fixed work are billed 50% upfront and 50% on completion. Deposits are non-refundable once work starts (subject to Australian consumer law).

Growth System & hosting. Billed monthly on the same calendar date via the payment method on file. Where a minimum term is stated in your proposal, you may cancel any time after the minimum term with 30 days’ written notice to [email protected]. After the minimum term, plans continue month-to-month until cancelled.

SEO sprints. If you proceed with a Sprint, the minimum term is 90 days (3 monthly payments). After that, continue or cancel with 30 days’ written notice. Advanced SEO packages are paid in full before activation and are non-refundable once initiated.

Price changes. We may adjust plan pricing or usage rates; we’ll give reasonable notice for recurring plans.

5) Messaging (email/SMS/WhatsApp) usage & compliance

Fair-use allowances. Growth plans include generous monthly email/SMS credits for forms, follow-ups, review requests, and lead replies. If you outgrow your allowance, we’ll move you to a better-fit plan or pass through overage at then-current provider rates (where your proposal lists specific per-message rates, those apply). We’ll always let you know before any extras are charged.

Legal compliance. You must only message people you have a lawful basis to contact and must honour opt-outs. You won’t upload purchased lists, send unlawful content, or use the system to request only positive-bias reviews.

Platform policies. You agree to follow carrier and platform rules (e.g., Google, Meta, Apple/WhatsApp). We may suspend messaging for abuse, excessive complaints, or non-payment.

Trials. If a free trial is offered, we may charge a small activation fee to provision a number and collect a card on file; the trial rolls to the agreed monthly plan unless cancelled before it ends.

6) Reviews & SEO – important specifics

Reviews. We never create or post fake reviews. Delivery depends on your customers engaging with requests and on the rules of each platform.

SEO. Search results are controlled by third-party algorithms and competition; we do not guarantee specific rankings or revenue outcomes, though we deliver quality systems designed to help you grow.

7) Intellectual property & access after cancellation

You own your brand assets, copy, and images you supply. We own our automation frameworks, templates, and backend tools used to run lead capture, review workflows, and other systems (we license these to you while you’re a paying customer).

If you cancel a hosted website, we’ll provide a downloadable HTML copy of your site; you’re responsible for new hosting. We can assist with migration for a quoted fee.

8) Refunds & promotions

Due to the nature of digital work, deposits are non-refundable once work begins (subject to your statutory rights). Any promotional deals or trials will clearly state their terms and timeframes.

9) Privacy & data

Your use of our services is governed by our Privacy Policy. We follow sensible retention, access, and disposal practices and respect GDPR/UK-GDPR rights where applicable. (If you need a formal DPA, we can provide one.)

10) Warranties & liability

Services are provided “as is”. To the fullest extent permitted by law, we exclude all implied warranties and limit our aggregate liability to the fees paid by you in the three (3) months before the event giving rise to the claim. You’ll indemnify us against third-party claims arising from your unlawful use of the services, supplied content, or breach of these Terms.

11) Suspension & termination

We may suspend or terminate access for non-payment, material breach, unlawful activity, or platform abuse. You may terminate in line with Section 4. On termination, your service access ceases and any amounts due remain payable.

12) Dispute resolution

If a dispute arises, both parties will first try to resolve it in good faith. If unresolved, the matter will be referred to arbitration under rules we nominate, seated in New South Wales, Australia.

13) Changes to these Terms

We may update these Terms from time to time. Continued use of the site or services after updates indicates acceptance of the revised Terms.

14) Governing law

These Terms are governed by the laws of New South Wales, Australia, with exclusive jurisdiction of Australian courts.

Additional Information: SMS and MMS Pricing for Australia

For SMS messages, the outbound cost per message is $0.0515.

For inbound, the cost per message is $0.0075.

For MMS messages, both outbound and inbound messages are charged at a rate of $0.3500 per message.
